Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and BillionVerify, the operator and merchant of record for the Service identified on your checkout receipt or invoice ("BillionVerify," "we," "us," or "our"). They govern your access to and use of billionverify.com, our dashboard, APIs, verification tools, support channels, and related services (collectively, the "Service").

1. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a contract to use the Service. If you use the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity to these Terms.

• You must provide accurate, current, and complete registration and billing information.
• You are responsible for all activity under your account, credentials, API keys, and payment methods.
• You must promptly notify us of unauthorized access, billing issues, or security incidents affecting your account.

2. The Service

BillionVerify provides email verification tools, including single lookups, bulk processing, downloadable results, and API-based verification. Verification outcomes are based on signals available at the time of processing. Email systems change continuously, so results may become stale or differ over time.

• The Service is a digital service, not a physical product.
• We may add, remove, suspend, or modify features at any time.
• We may use third-party infrastructure, payment processors, analytics providers, support tools, and security providers to operate the Service.

3. Credits, Packages, Subscriptions, and Promotions

Credits are the usage units required to perform verification activity on the Service. Credits are licensed, not sold as stored monetary value. They have no cash value, are non-transferable, are not redeemable for cash, and may only be used through the Service.

4. Payment Authorization and Immediate Performance

All payments are processed through Stripe or another payment provider we select. By providing a payment method, you authorize us and our processor to charge the applicable fees, taxes, and any renewal charges you approve at checkout.

You may not use the Service to:

• Violate anti-spam, privacy, consumer protection, or data protection laws.
• Submit data you do not have the lawful right to process.
• Abuse promotional offers, bypass rate limits, probe our systems, or attempt unauthorized access.
• Reverse engineer, copy, resell, sublicense, or build a competing service using the Service except as expressly permitted by us in writing.

7. Your Data and Compliance Responsibilities

You are responsible for the legality, accuracy, quality, and integrity of the email data and other content you submit. You represent that you have all necessary notices, consents, and lawful bases required to submit that data to us for processing.

• We may process submitted data to provide results, troubleshoot, prevent abuse, investigate disputes, and comply with law.
• We do not accept responsibility for your downstream marketing, outreach, or compliance decisions.
• You should retain your own backups if you need long-term access to inputs or outputs.

8. API, Limits, and Availability

We may set or enforce rate limits, concurrency limits, account restrictions, and technical safeguards. We do not guarantee the Service will be uninterrupted, error-free, or available at all times. Maintenance, provider failures, internet issues, abuse mitigation, or security events may delay or interrupt access.

9. Intellectual Property

The Service, including our software, interfaces, documentation, branding, and related intellectual property, belongs to us or our licensors. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your internal business purposes.

10. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted availability.

11. Limitation of Liability

To the maximum extent permitted by law, BillionVerify will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, or business opportunity.

Our total aggregate liability for all claims arising out of or relating to the Service will not exceed the greater of: (a) the amount you paid us during the 12 months preceding the event giving rise to the claim; or (b) USD $100.

12. Indemnification

You will defend, indemnify, and hold harmless BillionVerify and its affiliates, officers, directors, employees, contractors, and agents from and against claims, losses, liabilities, damages, judgments, fines, penalties, and expenses (including reasonable attorneys' fees) arising out of or relating to your data, your use of the Service, your violation of these Terms, your violation of law, or your abusive payment disputes.

13. Suspension and Termination

We may suspend or terminate access immediately if we reasonably believe you violated these Terms, engaged in fraud or abuse, created risk for us or others, or initiated an unjustified payment dispute.

• Remaining access or credits may be frozen while we investigate.
• Termination does not relieve you of fees already due.
• Sections that by their nature should survive termination will survive, including payment, dispute, warranty, liability, and indemnity provisions.

14. Changes to the Service or Terms

We may update the Service, our pricing, or these Terms from time to time. Updated Terms become effective when posted or on the stated effective date. If you continue using the Service after the update becomes effective, you accept the updated Terms.

15. Governing Law and Venue

Except to the extent non-waivable consumer protection law in your jurisdiction applies, these Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

To the maximum extent permitted by law, you and we agree that any dispute arising out of or relating to the Service or these Terms will be brought only on an individual basis and not as part of a class, collective, or representative action. Exclusive venue will be the state or federal courts located in Wilmington, Delaware, unless applicable law requires a different forum.
